Frequently asked questions

When must an Italian srl appoint a statutory auditor?

Appointing a control body or an auditor is mandatory when the srl must prepare consolidated financial statements, when it controls a company required to have a statutory audit, or when for two consecutive financial years it exceeds at least one of the thresholds set by Article 2477 of the Italian Civil Code, relating to total assets, revenue and average number of employees. The obligation ends if none of these thresholds is exceeded for three consecutive years.

What is the difference between a statutory auditor (sindaco) and an external auditor?

The external auditor checks the accounts: they verify that the financial statements are correct and that the books are properly kept. The statutory auditor (sindaco), or the board of statutory auditors, oversees management more broadly: compliance with the law and the articles of association, principles of sound management, adequacy of organisational structures. In an srl you can appoint a sole statutory auditor, who may also be entrusted with the statutory audit, or an external auditor.
